Outline

The Japanese equity market has long offered investors a paradox: A large number of stocks boast quality businesses and abundant levels of net cash and liquid assets, yet the market values them well below their liquidation value. Enterprising investors could take over these companies and realize this value, but Japan's weak market for corporate control has historically prevented them from doing so.
As a result, investors have, often correctly, considered these stocks to be value traps. However, the corporate governance reforms put into place several years ago are powerfully changing management behavior and empowering both active and activist investors.
Engagement is an increasingly powerful tool in helping to unlock trapped value, and we believe growing pressure from investors should reduce or eliminate the country's "corporate governance discount" in the coming years. This seminar will introduce Lazard's approach to engagement both in Japan and overseas, including case studies.

Mr. Scott R. Anderson, CFA, Director, Portfolio Manager/Analyst, Lazard Japan Asset Management K.K. (Tokyo)
Scott R. Anderson is a Portfolio Manager/Analyst at Lazard Japan Asset Management K.K. He began working in the investment field in 1998. Prior to joining Lazard in 2016, Scott was the head of Japanese equity research for Russell Investments. Prior to that, he was a senior manager with Nomura Asset Management and also worked in Nomura Fund Research and Technologies America as well as Nomura IBJ Global Investment Advisors. Previously, he worked as a consultant at ATKearney and as a consultant to the Inter-American Development Bank. He holds a B.A. in Political Science and Spanish from University of Minnesota and an M.S.F.S, in International Finance from Georgetown University School of Foreign Service. Scott is fluent in Japanese and Spanish.
Currently, Scott is a portfolio manager who manages small and medium-sized funds at Lazard Japan Asset Management. Investment strategies focus on the fusion of fundamentals and ESG, especially on improving and improving the governance of Japanese companies. She carefully analyzes financial and non-financial information, considers the essential significance of the capital structure of a company on engagement dialogue with the companies, and realizes an increase in corporate value. He also works closely with Lazard's global ESG team.

Ms. Tomomi Fukuta, Vice President, Senior Research Analyst, Lazard Japan Asset Management K.K. (Tokyo)
Tomomi Fukuta is a Senior Research Analyst at Lazard Japan Asset Management K.K. She began working in the investment field in 2001. Prior to joining Lazard in 2010, worked at Mizuho Corporate Bank in the International Coordination Division with the Asia Infrastructure Task Force. Prior to that, she worked at Mitsubishi Securities in the Fixed Income Department, JGB Group . She has a BA in  Economics from Keio University. She is currently pursuing a Master's Degree in Environmental, Social and Governance (ESG) issues and practice at HoseiUniversity. She is a member of the Japan Society for Business Ethics in Tokyo. Tomomi is fluent in English and Japanese.
Tomomi conducts corporate research and analysis from both fundamentals analysis and ESG analysis. She is a judge for the Nikkei Integrated Report Awards. She belongs to the Japan Society for Business Ethics, the Japan Society for Management, the Financial SDGs Study Group, and the Finance Society. Academic Research activity : "Study on the role and effect of female outside directors in improving corporate value" Annual Meeting of the Japan Society for Business Ethics."
