Extraordinary General Meeting
For the merger with VBA beleggingsprofessionals
You are encouraged to attend the Extraordinary General Meeting of CFA Society Netherlands, to be held on 7 December 2017 from 17:00 to 19:00 at De Nieuwe Poort in Amsterdam Zuidas.
During our 19 September General Meeting members of the society voted with an overwhelming majority to pursue a merger with VBA beleggingsprofessionals. With that affirmation, three years of hard work by both organisations were rewarded. We look forward to a fruitful cooperation. Industry organisations, regulators, policy makers and leading employers in our industry also expressed their support. CFA Institute shares our excitement and is supporting the merger both financially and with operational assistance.
On November 1st we filed our intention to merge with the Amsterdam Chamber of Commerce, and published the filing in 'Het Financieele Daglad' of 3 November 2017, thus entering a one-month creditor protestation period (as from the date of publication). Provided no objections are filed by creditors that cannot be satisfactorily resolved, the Dutch District Court will issue a Certificate of Non-objection.
On 7 December 2017 an Extraordinary General Meeting of members will be held at which we will request members to confirm September's decision and vote to resolve to the merger in accordance with the merger proposal.
The merger date will be 1 January 2018. Currently documentation, strategies and implementation plans are being prepared by our boards, staffed offices and CFA Institute.
We encourage all members to join this General Meeting to discuss the final details of the merger and to vote on the merger and therefore the new merged organisation: CFA Society VBA Netherlands.

The General Meeting will be preceded by 'Survivors and Thrivers Since the Great Recession' a presentation on the research of Jeremy Deal and Seth Lowry, CFA of JDP Capital which explores the business fundamentals of the top performing US stocks.

You will have read in various member communications and press releases that the board of CFA Society Netherlands has been in discussions with VBA beleggingsprofessionals regarding closer cooperation between the two organisations. The mission, vision and strategy of the two organisations are quite similar and our members work side-by-side in the industry. Following a two-year period of intense discussions with VBA and CFA Institute, which included a steering committee, working groups, many meetings, and consultations with members and advisors, CFA Society Netherlands and VBA beleggingsprofessionals concluded that the best way forward is a full merger of the two organisations.
On 11 July 2017 the boards of both CFA Society Netherlands and VBA beleggingsprofessionals approved putting the proposal forward to our members for approval in a special GM in September.
On 19 September 2017 a General Meeting was held to review and approve the Annual Report of CFA Society Netherlands and to discuss the merger in more detail, including the merger proposal, the draft documentation for the merger and the merger planning. A majority of members present at the meeting and through proxy, approved the proposal to merge with VBA beleggingsprofessionals.
